Terms and Conditions

Effective Date: July 1, 2026. This version supersedes all prior Terms and Conditions. Your continued use of the Site or Services on or after this date constitutes acceptance of these updated terms.

By signing up as a client of Design Shifu or by accessing or using www.designshifu.com, the Design Shifu client dashboard, the Design Shifu white-label dashboard, and any apps and integrations included within our service offerings (collectively, the "Site"), you agree to be legally bound by these Terms and Conditions (the "Agreement"). Please read this Agreement carefully. If you do not agree with these terms, you are prohibited from using or accessing the Site or any services provided by Design Sensei LLC.

You agree to comply with all applicable laws and regulations and acknowledge that you are responsible for compliance with any applicable local laws.

Design Sensei LLC, located at 30 N Gould St STE R, Sheridan, Wyoming 82801, USA, owns all rights, title, and interest in and to the "Design Shifu" name, likeness, trademarks, and associated intellectual property. "Design Shifu" is a trademark of Design Sensei LLC.

Design Sensei LLC reserves the right to update or modify this Agreement at any time. Your continued use of the Site following any modifications constitutes acceptance of those changes.

Acceptance of Terms

This Agreement governs the relationship between you and Design Sensei LLC, including its subsidiaries and affiliates, in connection with your access to and use of the Site and all services provided through the Site (collectively, the "Services").

By using the Site or subscribing to the Services, you acknowledge that you have read, understood, and agreed to be bound by this Agreement.

Use License

Unless otherwise indicated, the Site and all related content, including but not limited to source code, databases, functionality, software, website designs, text, graphics, photographs, audio, video, trademarks, service marks, and logos, are the proprietary property of Design Sensei LLC or its licensors and are protected by applicable intellectual property laws.

You may not:

• Modify, copy, or reproduce Site materials;
• Use Site materials for commercial public display;
• Attempt to decompile or reverse engineer any software contained on the Site;
• Remove proprietary notices;
• Mirror or transfer Site materials to another server.

Disclaimer

The materials and Services are provided "as is" without warranties of any kind, either express or implied. Design Sensei LLC disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Design Sensei LLC does not warrant or assume responsibility for any third-party products or services advertised through the Site.

Design Shifu reserves the right to reject any request that includes or promotes violence, sexual or adult content, hateful or abusive material, drugs or any addictive substances, unlawful content, or content harmful to individuals or humanity.

Limitation of Liability

In no event shall Design Sensei LLC, its affiliates, employees, contractors, or suppliers be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of revenue, loss of profits, loss of data, or business interruption, arising from the use or inability to use the Site or Services.

Certain jurisdictions may not allow limitations on implied warranties or liability; therefore, some limitations may not apply to you.

User Representations

By using the Site, you represent and warrant that:

• All registration information is accurate and current;
• You have legal capacity to enter into this Agreement;
• You are not a minor in your jurisdiction;
• You will not access the Site through automated means;
• You will not use the Services for unlawful purposes;
• Your use of the Site will comply with all applicable laws.
  

Design Sensei LLC reserves the right to suspend or terminate accounts containing inaccurate or misleading information.

Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. You must notify Design Shifu immediately of any unauthorized access.

Design Sensei LLC shall not be liable for losses arising from unauthorized account use due to your failure to safeguard credentials.

Subscription Plans

Design Shifu offers the following subscription plans, with pricing that scales according to the number of projects per day selected. Pricing shown below is the starting price for one project per day. Full pricing for all plan and projects-per-day combinations is displayed on the Site at the time of purchase.

• Starter: from $549 per month
• Growth: from $749 per month
• Scale: from $1,099 per month
  

Annual billing is available on all plans and is charged as a single annual payment equal to ten months of the applicable monthly rate.

Each plan includes specific service inclusions and limitations as described on the Site at the time of purchase. Design Sensei LLC reserves the right to modify pricing, plan structures, service inclusions, or projects-per-day allocations at any time. Pricing changes apply to future billing cycles and do not affect the current paid term, except as set out in the Legacy Plans and Pricing section below.

Project Delivery Model

Subscriptions operate on a projects-per-day model based on the plan selected.

• Your plan includes a defined number of projects placed into active production per business day (your "projects per day" allocation).
• You may submit and queue design requests. The number of requests in active production at any one time corresponds to your projects-per-day allocation.
• The projects-per-day allocation describes production capacity, not a guarantee that a given number of requests will be completed or delivered within any specific day. Project size, scope, and revision rounds affect completion time.
• Turnaround times are estimates and are not guaranteed.
  

Subscription fees are billed in advance according to your selected billing cycle. By subscribing, you authorize recurring automatic charges.

Payments, Billing, and Suspension

If payment fails or is declined:

• Services may be suspended immediately;
• Access to the dashboard and files may be restricted;
• Legacy pricing, where applicable, is forfeited as set out in the Legacy Plans and Pricing section.
  

All fees are non-refundable except as expressly stated below.

The 14-day money-back guarantee applies only to new subscribers of Starter, Growth, or Scale plans.

Refund Policy

14-Day Money-Back Guarantee

To qualify:

• At least one request must be submitted;
• At least two rounds of feedback must be provided on the same request;
• The client must attend at least one scheduled onboarding or client success call if requested within the 14-day period;
• No request may be marked as approved;
• No source or open files may be requested.
  

Refund eligibility is void if:

• Any request is approved;
• Source files are requested;
• The client declines or fails to attend a scheduled onboarding or client success call within the refund window;
• The subscription renews;
• The account belongs to an existing or renewing subscriber.
  

After 14 days from initial signup, no refunds will be issued.

Legacy Plans and Pricing

Discontinued and Credit-Based Plans

All credit-based and discontinued subscription plans have been permanently terminated.

Former credit-based users whose subscriptions were canceled, paused, or failed due to non-payment have permanently lost access to:

• Legacy pricing;
• Discontinued plan structures;
• Dashboard access under such plans.
  

Such users may only reactivate under currently available subscription plans.

2026 Pricing Update and Legacy Protection

Effective July 1, 2026, Design Shifu updated its subscription pricing. Subscribers whose subscriptions were active before July 1, 2026 ("legacy subscribers") retain their prior pricing subject to the conditions below.

• Monthly subscribers retain their legacy pricing for up to twelve (12) months from July 1, 2026, provided the subscription remains continuously active and paid. At the end of this twelve (12) month period, the subscription is automatically moved to the then-current pricing for the equivalent plan, effective on the next billing cycle.
• Annual subscribers retain their legacy pricing for up to thirty-six (36) months from July 1, 2026, provided the subscription remains continuously active and paid. At the end of this thirty-six (36) month period, the subscription is automatically moved to the then-current pricing for the equivalent plan, effective on the next renewal.
• Monthly subscribers may switch to annual billing on their existing plan until August 1, 2026 in order to secure the thirty-six (36) month legacy pricing term. This option is not available after August 1, 2026.
• Any client holding an active annual subscription as of July 1, 2026 may change their plan (their tier and/or projects-per-day allocation) one time at their next renewal and have the new plan priced at the applicable legacy pricing rate. This one-time change does not forfeit legacy pricing. Any further change after this is subject to the forfeiture provisions below.
• Except as provided in the preceding bullet, legacy pricing applies only to the exact plan tier and projects-per-day allocation held by the subscriber as of July 1, 2026.

Legacy pricing is permanently forfeited, with no right of reinstatement, upon any of the following events:

• Any change to the number of projects per day;
• Any change of plan tier, whether an upgrade or a downgrade, other than the one-time annual plan change described above;
• Any pause of the subscription;
• Any cancellation of the subscription;
• Any failed, declined, or interrupted payment.

Upon forfeiture of legacy pricing, the subscriber may only continue under the then-current pricing and the plans then available. Prior pricing cannot be restored.

Ownership of Work

Upon full payment:

• Final approved deliverables and source files become the property of the client;
• The client receives full usage rights to such work.
  

All work created by Design Shifu remains the property of Design Sensei LLC until full payment has been received.

Proofing and Release of Work

Clients represent and warrant that all materials submitted are owned or properly licensed and agree to indemnify Design Shifu against third-party claims arising from such materials.

Design Shifu reserves the right to display completed work for portfolio and marketing purposes unless otherwise agreed in writing.

Due to the nature of creative services, Design Shifu does not guarantee that files will be entirely free from error.

Confidentiality

Design Shifu shall not be liable for losses arising from approved errors.

Upon delivery, you agree to review and proof all files before printing, publishing, or distribution.

Design Shifu will treat client information as confidential and will not disclose it except as required by law.

Absolute confidentiality of electronic communications cannot be guaranteed.

Corrections

Design Sensei LLC reserves the right to correct errors or omissions on the Site at any time without prior notice.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the State of Wyoming.

You irrevocably consent to the exclusive jurisdiction of the courts located in Wyoming for resolution of any disputes arising under this Agreement.
